Terms of Service

1.1 Definition of Service

Hotel reservation service refers to the hotel reservation service provided by the Company through the Bitvoya platform to registered and real-name authenticated users (hereinafter referred to as "Service").

1.2 Types of Services

The Service includes two types: real-time hotel reservations and hotel package reservations.

• 1.2.1 Real-Time Hotel Reservations: Real-time hotel reservations refer to Your use of the account established by the Company for You through the Bitvoya platform to make online hotel reservations. You confirm and agree that the account established by the Company for You is for Your personal use only, and that the hotel reservation orders You submit are consistent with Your personal identity documents. You further guarantee the authenticity, accuracy, and validity of Your account information and reservation information.
• 1.2.2 Hotel Package Reservations: Hotel package reservations refer to Your use of the account established by the Company for You through the Bitvoya platform to make online hotel package reservations. You confirm and agree that the account established by the Company for You is for Your personal use only, and that the hotel reservation orders You submit are consistent with Your personal identity documents. You further guarantee the authenticity, accuracy, and validity of Your account information and reservation information.

1.3 Service Process Modifications

You understand and agree that the above-described service process may be adjusted due to changes in applicable scenarios and functionality availability. Therefore, the specific service process provided by the Company shall prevail.

1.4 Agreement Modifications

You understand and agree that the Company has the right to revise the content of this Agreement based on business operational needs and will announce the latest Terms of Service in advance through the Company's website or Bitvoya platform. You should pay attention to and review the latest Terms of Service published by the Company. If You cannot accept the content of the latest Terms of Service, You have the right to stop using the Service.

1.5 Hotel Pricing

You acknowledge that hotel prices listed on the Bitvoya platform include the actual fees required to be paid, but do not include regional city taxes, resort taxes, environmental protection taxes, or other similar charges.

1.6 Currency and Exchange Rates

You acknowledge that hotel prices listed on the Bitvoya platform may be displayed in multiple currencies. The actual hotel price in local currency shall prevail. Exchange rates are subject to real-time fluctuations. Your actual payment amount and settlement currency will be determined according to the hotel's local currency and hotel policies.

1.7 Hotel Benefits and Amenities

You acknowledge that all hotel benefits and amenities listed on the Bitvoya platform are provided by the hotels themselves. The Company merely organizes and displays the information provided by the hotels. The Company assumes no responsibility for the specific content and implementation of hotel benefits and amenities.

1.8 Room Type Translations

You acknowledge that Chinese room type descriptions listed on the Bitvoya platform are translated by the Company. You are responsible for verifying room type consistency with other platforms. The Company assumes no responsibility for the consistency of room type descriptions.

1.9 Hotel Benefits Adjustments

You acknowledge that hotels have the right to adjust hotel benefits and amenities at any time according to their operational needs without prior notice or announcement. The actual benefits and amenities provided by the hotel upon Your check-in shall prevail. The Company assumes no responsibility for any adjustments made by the hotel.

2.1 Information Submission and Authorization

To ensure the validity of orders and meet hotel service requirements, You must submit information including but not limited to Your name, identity document number, phone number, and payment card information when using the Service. You authorize the Company to retain Your name, identity document number, phone number, payment card number, transaction orders, transaction records, and other information within the scope permitted by law, in order to continuously provide and promote quality services to You. You agree to the following:

• 2.1.1 Information Accuracy and Updates: You must provide accurate information as required by the Company and update it in a timely manner. If the information You provide is incorrect, inaccurate, outdated, or incomplete, the Company has the right to suspend or terminate part or all of the Service to You and suspend Your account access rights.
• 2.1.2 Contact Information: You must provide accurate contact information and update it in a timely manner to enable the Company to contact You promptly and effectively. If You fail to provide accurate contact information or update it in a timely manner, the Company may be unable to contact You and may be unable to provide part or all of the Service to You.
• 2.1.3 Identity Information Updates: You must update Your identity information and related documentation in a timely manner. If You fail to update such information in a timely manner resulting in the Service becoming unusable, failure to check in successfully at the hotel, or problems arising during Your hotel stay, You shall bear the corresponding risks.
• 2.1.4 Order Information Accuracy: When using the Service, You must fill in and submit accurate, valid information for Your orders, including but not limited to the names of check-in guests, gender, number of guests, phone number, and payment card information. You shall bear the corresponding risks arising from inaccurate information submission.
• 2.1.5 Order Verification: When using the Service, the Company has the right to verify the authenticity, validity, and accuracy of the order information You submit and has the right to determine whether to process Your submitted orders.

2.2 Reservation Confirmation and Payment

When using the Service, upon successful order submission and confirmation of reservation success, Your reservation is deemed complete. The hotel has the right to require You to prepay room fees or deduct payment from the payment card You provide in advance. You shall bear the corresponding risks arising from Your actions.

2.3 Hotel Member Benefits

The final interpretation of Your hotel member benefits is provided by the hotel or the group to which the member program belongs. The Company provides member policy information for reference only. You should confirm the accuracy of benefits with the group to which Your member program belongs. The Company assumes no responsibility for Your member benefits.

2.4 Benefit Usage and Restrictions

When using the Service, the benefits provided by the hotel are limited to the actual check-in guest whose information You submitted in Your order, and the check-in guest must be consistent with the real-name authentication information of Your registered account. Regarding any consumption allowances provided by the hotel, regardless of the channel, platform, or price type through which You make the reservation, You may only enjoy such benefits once during Your stay at that hotel.

2.5 Pricing Errors and Cancellations

When using the Service, for hotel price errors caused by server errors, system failures, technical issues, room type translation errors, or similar reasons, the hotel and the Company have the right to cancel such reservations. Neither the hotel nor the Company shall assume any responsibility for such cancellations.

2.6 Payment Card Information Security

When using the Service, the payment card information You submit will be transmitted to the hotel. The Company cannot and will not process, verify, or guarantee the authenticity, validity, accuracy, security, pre-authorization, or deduction of Your payment card. You are responsible for safeguarding Your payment card and exercising caution when using it. The Company assumes no responsibility for any abnormal situations occurring with Your payment card.

2.7 Non-Transferability

When using the Service, You may not transfer the Service in any form to any third party, nor may You transfer or provide hotel benefits in any form to third parties for use.

3.1 Liability Limitations

If the Company causes actual and assessable losses to Your hotel stay, the Company's liability shall be limited to the economic losses You actually suffer that are reasonably foreseeable.

3.2 Service Provision "As Is"

The Service is provided at the current level of technology and service capability. The Company will make every effort to provide the Service to You, but cannot guarantee that the Service will fully meet Your expectations.

3.3 User Responsibility for Order Operations

Subject to the above terms, You have the right to use all services of the Bitvoya platform and have the right to perform any operations on Your orders. You shall bear the corresponding risks arising from such operations. The Company assumes no obligation to provide advance notice and assumes no responsibility for performance.

3.4 Account Suspension or Termination

If Your conduct exhibits any of the following behaviors (including but not limited to) when using the Service, The Company has the right to suspend or terminate part or all of the Service to You and suspend Your account access rights:

• Transferring the Service to third parties;
• Transferring hotel benefits to third parties;
• Unauthorized or irregular cancellations;
• Failing to actually check in after making a reservation;
• Splitting reservations;
• Making alternating reservations with the same check-in guest name during overlapping stay periods;
• Contacting the hotel directly to modify check-in guest names;
• Contacting the hotel directly to prepay room fees;
• Using false or invalid payment card information;
• Providing reservation services to other unregistered users through Your account;

4.1 Legal Compliance and Information Sharing

You must not engage in any conduct that violates national laws and regulations or infringes upon the legitimate rights and interests of others. You understand and agree that if You are complained against by others or if You file a complaint against others, the Company has the right to provide necessary information including Your entity information, contact details, and complaint-related content to the other party or relevant authorities to promptly resolve disputes and protect the legitimate rights and interests of You and others, except as otherwise provided by law.

4.2 Jurisdiction

This Agreement is executed in Hangzhou, Zhejiang Province, People's Republic of China.

4.3 Governing Law

The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding conflict of laws principles).

4.4 Dispute Resolution

Any disputes or disagreements between You and the Company arising from this Agreement shall first be resolved through friendly negotiation. If negotiation fails, You agree to submit the dispute to the people's court with jurisdiction in Hangzhou, Zhejiang Province (the location where this Agreement is executed) for resolution.

5.1 Headings

All section headings in this Agreement are for convenience of reading only and have no substantive meaning. They cannot be used as a basis for interpreting the meaning of this Agreement.

5.2 Severability

If any term of this Agreement is invalid or unenforceable for any reason, the remaining terms shall remain valid and binding on both parties.
